Terms of Service

Welcome to Leedo. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Talk Dog, Inc., a Delaware corporation ("Talk Dog," "we," "us," or "our"), governing your access to and use of the Leedo platform and related services.
By accessing or using the Leedo platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the platform.
PLEASE READ SECTION 21 CAREFULLY. IT REQUIRES YOU AND TALK DOG TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND IT INCLUDES A CLASS ACTION WAIVER. YOU MAY OPT OUT AS DESCRIBED IN SECTION 21.4.
1. Definitions
- "Platform" means the Leedo service, however you access it, including by text message or other messaging services, website, web application, or mobile application, together with all features, tools, APIs, and related documentation.
- "Services" means the Platform and any associated support, maintenance, and professional services provided by Talk Dog.
- "you" means the pet owner who uses the Services.
- "Business Partner" means a veterinary clinic, trainer, or other business or service that serves pet owners and that Leedo may refer you to, link you to, or work with.
- "Your Content" means information you provide to Leedo, including messages and details about your pet.
- "Subscription Term" means the period during which you have a Leedo account.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years of age and live in the United States. If you are a business that works with Leedo, such as a Business Partner, a separate written agreement with Talk Dog governs that relationship.
2.2 Account Registration
To access the Platform, you must register an account and provide accurate, current, and complete registration information. You agree to update this information as necessary to maintain its accuracy.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Talk Dog of any unauthorized use of your account.
3. Service Description
3.1 Platform Overview
Leedo is an AI assistant that helps pet owners care for their pets. Leedo answers your questions, offers training, behavior, and care guidance, checks in with you about your pet, and may refer you to Business Partners when that may help you or your pet. Leedo is an AI assistant, not a person.
3.2 Not Veterinary Medical Advice
THE PLATFORM IS NOT A VETERINARY SERVICE AND DOES NOT PROVIDE VETERINARY MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. All content, guidance, and recommendations provided through the Platform are for informational and preparatory purposes only. The Platform is designed to provide general information and guidance and does not replace the professional judgment of licensed veterinarians.
4. Subscription Plans, Fees, and Payment
4.1 Subscription Plans
The Services are currently free. Talk Dog may change or stop offering free features at any time. Talk Dog may in the future offer paid features or plans. We will tell you the price and terms before you are charged, and you will not be charged unless you agree.
4.2 Fees and Billing
If you sign up for a paid feature or plan, subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). All fees are quoted in U.S. dollars unless otherwise specified.
4.3 Taxes
Fees are exclusive of all applicable taxes, levies, or duties. You are responsible for paying all such taxes, excluding taxes based solely on Talk Dog's income.
4.4 Price Changes
Talk Dog reserves the right to modify pricing upon at least thirty (30) days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period.
5. Auto-Renewal and Cancellation
5.1 Auto-Renewal
Paid plans renew automatically at the end of each billing period for the same length of time until you cancel. We will tell you the renewal terms before you subscribe.
5.2 Cancellation
You may cancel a paid plan at any time using the method we provide when you subscribe or by emailing hi@leedo.pet. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial billing periods.
5.3 Effect of Termination
Upon cancellation or termination, your access to paid features will continue until the end of the current billing period, after which those features will be turned off.
6. Access Grant and Restrictions
6.1 Access Grant
Subject to these Terms and payment of any applicable fees, Talk Dog grants you a non-exclusive, non-transferable, non-sublicensable right to access and use the Platform during the Subscription Term, solely for your personal, non-commercial use.
6.2 Restrictions
You agree not to, and will not permit any third party to:
- Copy, modify, or create derivative works of the Platform
- Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code of the Platform
- Rent, lease, sell, sublicense, or transfer the Platform to any third party
- Use the Platform to build a competing product or service
- Circumvent or disable any security or access control features
- Use automated scripts, bots, or scrapers to access or extract data from the Platform
- Use the Platform in any manner that violates applicable law or regulation
- Remove, alter, or obscure any proprietary notices on the Platform
7. Your Content
7.1 Ownership
You retain all right, title, and interest in and to Your Content. Nothing in these Terms transfers ownership of Your Content to Talk Dog.
7.2 License to Talk Dog
You grant Talk Dog a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Content solely as necessary to provide the Services and as described in our Privacy Policy.
7.3 Aggregated Data
Talk Dog may collect and use aggregated, anonymized, and de-identified data derived from Your Content for purposes of improving the Services, conducting research, and generating industry benchmarks. Such aggregated data will not identify you.
8. Data Security and Privacy
8.1 Security Measures
Talk Dog implements industry-standard administrative, technical, and physical security measures designed to protect Your Content against unauthorized access, alteration, disclosure, or destruction.
8.2 Privacy Policy
Your Content is collected, used, and shared in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
8.3 Compliance
Each party agrees to comply with all applicable data protection laws and regulations in connection with the performance of these Terms.
9. AI-Powered Features Disclosure
9.1 Use of Artificial Intelligence
The Platform incorporates artificial intelligence and machine learning technologies to provide features such as answers to your questions, training, behavior, and care guidance, and personalized recommendations.
9.2 Informational Purpose Only
AI-generated content and recommendations are provided for informational purposes only. They do not constitute veterinary medical advice, diagnosis, or treatment recommendations. Talk to your veterinarian before making decisions about your pet's health. If your pet may need urgent care, contact your veterinarian or an emergency animal hospital right away.
9.3 Your Decisions
You are responsible for the decisions you make about your pet's care. Licensed veterinary professionals remain solely responsible for all clinical and medical decisions regarding animal care.
9.4 Limitations
AI-generated content may not always be accurate, complete, or current. Talk Dog does not guarantee the accuracy, reliability, or appropriateness of any AI-generated content for any specific situation.
10. Veterinary Disclaimer
10.1 No Veterinary Services
LEEDO IS A SOFTWARE PLATFORM, NOT A VETERINARY PRACTICE. Talk Dog does not employ or contract with veterinarians to provide veterinary care through the Platform. The Platform does not diagnose, treat, cure, or prevent any animal disease or condition.
10.2 Professional Responsibility
Diagnoses, treatments, and prescriptions for your pet must come from a licensed veterinarian. The Platform is an informational tool; it does not replace professional veterinary judgment.
10.3 Business Partners
Leedo may refer you or link you to Business Partners. Business Partners are independent businesses. They are not employees or agents of Talk Dog, and Talk Dog is not responsible for the services they provide. A referral is not a guarantee of a Business Partner's qualifications or the quality of its services. You decide whether to use a Business Partner, and any services you receive from a Business Partner are between you and that Business Partner. With your permission, Leedo may share limited information with a Business Partner, as described in Section 6.2 of our Privacy Policy. You can withdraw your permission at any time by replying UNSHARE. If a referral involves compensation to Talk Dog, we will tell you when we make the referral.
11. Content and Third-Party Links
11.1 Informational Content
The Platform may include educational content, articles, guides, and other informational materials. Such content is provided for general informational purposes only and should not be relied upon as veterinary medical advice.
11.2 Third-Party Links
The Platform may contain links to third-party websites or services. Talk Dog does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services.
12. Interactive Services and User Content
12.1 User Content
The Platform may allow you to submit content, including text, images, and other materials ("User Content").
12.2 License Grant
By submitting User Content, you grant Talk Dog a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such User Content solely as necessary to provide and improve the Services.
12.3 Content Restrictions
You agree not to submit User Content that: (a) is unlawful, harmful, threatening, abusive, or harassing; (b) infringes any intellectual property or proprietary rights; (c) contains viruses or malicious code; or (d) violates any applicable law or regulation.
12.4 Moderation
Talk Dog reserves the right, but has no obligation, to review, edit, or remove User Content at its sole discretion.
13. Intellectual Property
13.1 Talk Dog IP
The Platform, including all software, code, algorithms, designs, text, graphics, trademarks, logos, and other materials (excluding Your Content and User Content), is the exclusive property of Talk Dog or its licensors and is protected by intellectual property laws.
13.2 Trademarks
"Leedo," "Talk Dog," and associated logos are trademarks of Talk Dog, Inc. You may not use these marks without prior written consent.
13.3 Feedback
If you provide Talk Dog with suggestions, ideas, or feedback regarding the Platform ("Feedback"), you grant Talk Dog a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without obligation to you.
14. Service Availability
Talk Dog works to keep the Platform available but does not guarantee that it will be available at any particular time or without interruption. The Platform may be unavailable during maintenance or for reasons outside our control, and text messages may be delayed or not delivered.
15. Support and Maintenance
15.1 Support
Talk Dog provides support by email at hi@leedo.pet, and you can reply HELP to any Leedo text message, during regular business hours (Monday through Friday, 9:00 AM to 5:00 PM Eastern Time, excluding U.S. federal holidays).
15.2 Updates
Talk Dog may, at its discretion, provide updates, enhancements, and new features to the Platform. Such updates may be applied automatically and may alter the functionality of the Platform.
16. Suspension and Termination
16.1 Suspension by Talk Dog
Talk Dog may suspend access to the Platform immediately upon notice if: (a) you breach these Terms; (b) you fail to pay fees for a paid plan when due; (c) Talk Dog reasonably believes continued access poses a security risk; or (d) suspension is required by law or regulation.
16.2 Termination by You
You may stop using the Platform at any time. You may also end these Terms at any time by deleting your account, which you can do by texting Leedo "delete my account" or by emailing hi@leedo.pet. Replying STOP stops text messages but does not delete your account.
16.3 Termination by Talk Dog
Talk Dog may close your account or end these Terms at any time, including if you breach these Terms or if we stop offering the Platform. Where practicable, we will give you notice. If we close a paid account for a reason other than your breach, we will refund the unused portion of any prepaid fees.
16.4 Effect of Termination
Upon termination: (a) all rights granted to you hereunder immediately cease; (b) you must cease all use of the Platform; and (c) Sections that by their nature should survive termination will survive.
17. Your Data
17.1 Copies of Your Data
You may request a copy of Your Content as described in Section 11 of our Privacy Policy.
17.2 Data Deletion
When your account is deleted, we delete Your Content as described in Section 9 of our Privacy Policy, unless retention is required by applicable law.
18. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TALK DOG DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT ANY RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE, OR THAT ANY DEFECTS WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM TALK DOG OR THROUGH THE PLATFORM CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TALK DOG, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.
TALK DOG'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO TALK DOG DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER TALK DOG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
20. Indemnification
You agree to indemnify, defend, and hold harmless Talk Dog and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Platform in violation of applicable law; or (c) User Content submitted by you.
21. Dispute Resolution
21.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
21.2 Binding Arbitration
Before starting arbitration, you and Talk Dog agree to try to resolve any dispute informally for at least thirty (30) days. To start, send a description of the dispute to legal@leedo.pet. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in the county where you live, or by telephone or video conference. Either party may instead bring an individual claim in small claims court if it qualifies.
21.3 Class Action Waiver
YOU AND TALK DOG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
21.4 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to Talk Dog within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.
21.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
22. Modifications to Terms
Talk Dog reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and, where practicable, by email or text message to the contact information associated with your account. Changes take effect thirty (30) days after posting unless otherwise specified. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.
23. Miscellaneous
23.1 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
23.2 Assignment
You may not assign or transfer these Terms or any rights hereunder without Talk Dog's prior written consent. Talk Dog may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
23.3 Entire Agreement
These Terms, together with the Privacy Policy and any terms you accept for a paid plan, constitute the entire agreement between you and Talk Dog regarding the subject matter hereof and supersede all prior agreements and understandings.
23.4 No Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
23.5 Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the party's reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or pandemics.
23.6 Notices
All notices under these Terms must be in writing and will be deemed given when delivered personally, sent by confirmed email, sent by text message, or sent by certified or registered mail, return receipt requested, to the addresses specified herein or as subsequently designated in writing. We may send notices to you at the email address or mobile number associated with your account. You may send notices to Talk Dog at legal@leedo.pet or at the address in Section 24.

Section headings are for convenience only and do not affect the interpretation of these Terms.

25. Text Messaging Program Terms
This section applies to anyone who opts in to receive messages by text (SMS or RCS) or WhatsApp through the Platform.
25.1 Program Description. Talk Dog, Inc. sends messages by text (SMS or RCS) or WhatsApp as Leedo to pet parents who opt in. Messages include one-time codes to verify your phone number and sign you in, replies to the messages you send us, check-ins and follow-ups about your pet, updates about your account and your place on the Leedo waitlist, and answers to the keywords HELP, STOP, and START.
25.2 Consent. By checking the messaging box, you agree to receive recurring messages by text (SMS or RCS) or WhatsApp from Leedo (Talk Dog, Inc.) at the number you provided. Consent is not a condition of using the Platform or purchasing any goods or services.
25.3 Frequency and Cost. Message frequency varies. Message and data rates may apply.
25.4 Opting Out. Reply STOP to any message to stop receiving messages by text (SMS or RCS) or WhatsApp. You will receive one message confirming your opt-out. You can opt back in by replying START. If you change or deactivate your mobile number, text STOP from that number first or email hi@leedo.pet so we can remove it.
25.5 Help. Reply HELP for help, or contact us at hi@leedo.pet.
25.6 Carriers. Mobile carriers are not liable for delayed or undelivered messages.
25.7 Not for Emergencies. Messages by text (SMS or RCS) or WhatsApp are not veterinary medical advice and are not monitored for emergencies. If your pet needs urgent care, contact your veterinary clinic or an emergency animal hospital.
25.8 Eligibility. You must be at least 18 and the account holder or authorized user of the mobile number you provide.
25.9 Privacy. Our Privacy Policy, including Section 21 on messages by text (SMS or RCS) or WhatsApp, describes how we handle your mobile information.
